Who can become an Executive Director in a Pvt. Ltd. Company?? is it necessary condition precedent that to become an executive director one has to be a director???

WHETHER PVT COMPANY HAS INCORPORT WITH ROC ,FIRST SUBSRIBER OF THE COMPANY IS TAKEN BY 10000 SHARES OF RS 100000 BUT IN THE ROC MASTER DATA SHOW RS 00 IN THE COLUM OF PAID CAPITAL
PLEASE SUGGEST ME RIGHT PROCEDURES IN THIS REGARD TO RECTOFIED IT AND WHAT PAID UP CAPITAL IS TAKEN ANNUAL RETURN OF COMPANY

In case Company A ltd (Public company) gives loan to company B ltd (another Public company)having no holding or subsidary relationship. Both companies have a common director X. Is it necessary to take pre approval.

My query is because upon reading section 295(1), I feel section 295 is not applicable for giving loan to a Public co by another public co (having no holding or subsidary relationship),even though they have a common director.

Can you please highlight under which sub clause the above case falls under section 295 (1) ?

A Pvt. Ltd Co. has not filed their Roc Annual Return from 2009 onwards.

Now they aproaches to me to file their previous returns and take an appointment for F.Y- 2011-12 to make balance sheet .

Previous auditor has made the balance sheet till 31.03.2011. Now my questions are:

Can i accept the appointment for previous Financial year i.e. 2011-12

Can i file the annual returns of last year with my Digital signature.

Has it become mandatory for Companies to file there Returns & Financial Stmts. in XBRL Format from FY 2011-12....???

Can the Board of Directors of the Private Limited have the power refuse the resignation of Managing Director on the ground that, the resignation will not be accepted till the completion of asssigned work ?
