We are a listed company. Can we show the unsecured loan from Director as "Quasi Capital".
If yes, what is time limit upto which I can convert the Quasi capital into shares?

Is it necessary then to allot shares against the capital?

Secondly what are the implications if I do not make the required allotment in future.

ours is a private limited company and as my managing director will be extensively on touring always,he wants his father (who is no way related to the company)to represent in various legal matters. now my query is can we pass a board resolution appointing his father as an representative and if not, suggest me the suitable option?

If a company provides security on behalf of anothr company to any bank u/s 372A, then is it compulsory for the compay to create a charge u/s 125 of the company act.

if yes , then which company will create charge on that asset and why ?

My company(public, unlisted) wants to compound the offence relating to no. of minimum directors which was 3 but in AOA minimum no. is mentioned 4. wat would be the penalty ?? is it wise to compound the offence and get it done with ??
