23 January 2016 A pvt ltd company incorporated in Delhi wants to create a Branch office in Bihar. What necessary steps it need to follow in respect of mca & other laws.

25 January 2016 Board resolution is required to be passed for opening the branch office as per Companies Act 2013,

Sample format for opening/establishing Branch office(s)

RESOLVED THAT pursuant to the provision of section 2(14) of the Companies Act, 2013 including any amendment thereto, the consent of the Board of the Directors be and hereby given to establish/open a branch office of the company at………………and the Brach be called as ...................... branch of the company.

FURTHER RESOLVED that the premise of the branch be acquired on leave and license arrangement with monthly rental of Rs. ……………..

FURTHER RESOLVED THAT……………………… Director/Managing Director/ Manger/ be and is hereby authorized for setting up the ……………..branch and to sign & execute all documents and instrument to do all such acts and to take such steps, as may be necessary, for opening of the said branch.
