Draft of Board Resolution for issuing duplicate share certificate upon change of name of the shareholder company and cancellation of the previous certificate issued.

12 September 2011 Please elucidiate your query, the instant matter does not appear to be of issue of Duplicate Share Certificate because it is to be dealt with according to rules prescribed and norms set towards the LOSS OF SHARE CERTIFICATE.
Primafacie the instant case does appear to be that of transfer of share upon change in the name of shareholder.
Further also clarify whether such share certificates are in physical form or dematerialsed ones.

12 September 2011 The Company who is one of our shareholder has changed its name. and have requested us to issue cetificate in their new name.

now our company wants to pass a board resolution for approving the same.

The certificates are in physical form.

Our company is a private limited company.

kindly give a suitable resolution
