Is it mandatory that all Directors should be physically present in a room to conduct a Board Meeting? Can some Directors use video conferencing to join in a Board Meeting? Will it be a valid Board Meeting?

The quorum for a meeting of the Board of directors of a company shall be one-third of its total strength (any fraction contained in that one-third being rounded off as one), or two directors, whichever is higher(physicaaly present)
As far as video conferencing is concerned, companies act has not yet recognised it, so directors can attend the meeting though V.C but they will not be counted for the purpose of quorum.
