Dear All,
Plz. let me know in case of small company, if board meeting for disclosure of interest by directors was held on 30 sep'14 (1st board meeting in f.y. 2013-14) is valid ?
Whether it will comply the provisions of companies act, 2013

A small company may hold only two board meetings in a year, i.e. one Board Meeting in each half of the calender year with a minimum gap of ninety days between the two meetings. -Section 173(5)of the Companies act 2013
According to the above, 1st Board meeting should be held before 30th june i.e 1st half of the calender year.
