here is a company, his MD is commited some fraud & all others directors sent him to jail, i want to know the process that how this MD is removerd from the company & new director is appointed on that place.which is meeting is to be conducted,what will be the notice & resolution format & what the form is submitted with the ROC & what is the minimum time period to do all this
plz advice me as early as possible

06 February 2010 Any director can be removed (Except Govt nominee director) by ordinary resolution in General Meeting. A special notice is required to be send to him.
It require only 21 clear days to remove the director. The format of resolution for removal is simple one and didn't require special things. The form to be submitted is form 32 (change it according to MCA modification).
