Appointment of subsequent auditor

07 June 2016 Dear Friends,
One of the Pvt Ltd Company wants to Appoint Mr A (CA) as auditor for auditing books of Company for the FY 2015-16.

Company was formed in the year 2012 at that point of time company appointed Mr B (CA) as auditor of the company

In the Audit Report of FY 2014-15, In the directors report directores has mentioned that My B is retired and eligible for reappointment.

Now my question is whether Mr A can audit books of account of Pvt Ltd Company by just sending NOC letter to Mr B and indicating in letter that he (Mr A) will audit books of Company for FY 2015-16 and onwards?

Or Mr A can start from FY 2016-17 only??

08 June 2016 Resolution has to be passed to remove the old auditor and appoint new auditor in AGM og FY 2014-15. then He can start for FY 2015-16

Should Mr A first passed resolution to remove Mr B and then send that copy to Mr B with NOC documens?
