appointment of relative of Director

13 February 2010 I know that consent of the memebrs will be obtained in General Meeting held for the first time after appointment of realative of Director whose salary is fixed below Rs.50,000/0.My query is withour approval of the Board can we appoint such person and after 8 months can we directly place in General Meeting for members approval?

13 February 2010 Sec 314 require special resolution for appointment of relative of director at office or place of profit, and this special resolution can be passed at subsequently held general meeting AND NOT BOARD MEETING.
