19 June 2008 can a person(CA) be appointed because of his name is written in Articles of Association?or is it necessary to pass a resolution.

19 June 2008 auditor is not appointed by giving name in articles, resolution need to be passed every time.

19 June 2008 AoA doesnt deal with appointment of First Auditor... it is mandatory to pass necessary resolution

To reappoint the same auditor - Ordinary resolution

to appoint a new auditor - Special resolution

20 June 2008 First Auditor should be appointed within 1 month from the date of registration by the board of directors by passing a resolution and he will hold office till conclusion of first Annual general meeting.
