23 August 2010 what is the procedure to appoint statutory auditor in place of retiring auditor who shows his unwillingness to continue as statutory auditor at AGM?

23 August 2010 1. the retiring auditor should give the company notice, in writing, of his unwillingness to continue as auditor.

2. Receive notice u/s 224(1B) regarding eligibility for appointment as auditor from new auditor.

3. In AGM pass a resolution to appoint new auditor in place of existing one.
