22 January 2010 Can a private ltd. co. appoint a Director directly through a Board resolution?

Or is it necessary to first appoint as an alternate director and then regularize him in an EGM or AGM.

23 January 2010 since directors holding trusted position the directors are appointed by the owners ie, shareholders of the company.
but the board can appoint the directors in the following circumstances.
a. to fill the casual vacancy
b. Alternate directors
c. Additional directors
subject to articles.

And just to be precise, alternate director is appoint if current director is not in state for more than 3 months where Boar meeting are held.Hence it is place of exisitng director

And additonal director are appointed by Board which are later on confirm in next AGm or EGM
