Applicability of sec 299 in case of Import from holding co.

please suggest whether section 299 would apply incase of import from holding company. Whether registered to be maintained for this kind of purchase

As section 299 is applicable on company. But foreign company is not company under section 3 of companies act. Therefore how a transacion involving foreign company comes under section 299 of companies act
