27 April 2015 Is it possible for a private company to appoint a person as full fledged director without appointing him as additional director under the companies act, 2013?

27 April 2015 Yes..the company needs to appoint a Director under Section 152.

The Company needs to conduct a Board meeting first wherein Board needs to pass a resolution for 'appointing a Director under Section 152 subject to approval of Shareholders in General Meeting'.

Then hold General meeting after atleast 21 days and pass Resolution for appointing Director under Section 152. The appointment date of this Director will be date of General Meeting.
