11 February 2010 Hey can anybody help me on Annual General Meeting? My question is that the date of AGM was 15th and the auditor submitted the audited accounts to Board of Directors on 13th and they discovered an error. So they want to revise the same. They want to postpone the meeting. What should be the new date of AGM?

11 February 2010 One thing you can so if it is closly held public or private Company that u show that meeting is adjourned for want of quaoum & continue the meeting without further notice if held within one week

If adjourned for more than one week than need to issue notice to members.

Also pls state the status of Company as well as financial year

17 February 2010 At the outset, if the AGM is on 15th and you have obtained the accounts on 13th. then how are you going to dispatch the notice of the agm and the accounts to the members 21 days in advance. I Assume that the AGM is called on shorter notice and consent from 95% members (voting rights) is obtained.

At the AGM, pass all the other business other than adoption of accounts. For the adoption of accounts, adjourn the AGm to a date as may be suitable to you and within the time frame for adoption of accounts.

Revise the accounts and get the same re-adopted by the Board. Circulate the notice of AGM for getting accounts adopted. Hold the meeting, get the accounts adopted and file them with ROC.
