20 September 2016 We have one private company whose annual filing is pending for the F.Y. 2014-15, the query is that will Form MGT-14 is to be filed for approval of accounts and also for disclosure of directors interest as the exemption for filing of Form MGT-14 for both the cases came on 05.06.2015 and there is no clarity whether the notification will have a retrospective effect.

20 September 2016 Filing of MGT-14 will depend upon the date of board meeting in which Financials of FY 2014-15 was approved. If the board resolution date is after 05.06.2015, then no need to file MGT-14.
Form MGT-14 for Disclosure of Interest is not required with effect from 18.03.2015. MCA had issued a notification dated 18.03.2015 which had removed this point from the rules. Kindly have a look at it.
