Alteration in Articles of Association

Can a company completly substitute its articles with another set of articles.

The company became deemed public company but its articles were that of private company and according to the provisions of sec 43A of the cos. act the company can retain the identity of Public company.

Can co. alter its articles to have the provisions of public co. by substituting it with another set of articles.

24 February 2009 When you become a deemed public limited company you need not change the entire artilcels but certian section of the companies act are applicable to this private limited company on par with public limited company.

You can alter the articles to suit your workings but not ncessary for bencoming a deemed public limited company.

Is there any restriction on the substitution of old articles of the company with complete new set of articles.
