I have filed form 23 for name change as well as alteration of main objects of a small Rs. 100,000 paid up capital Private limited company... name is already available from ROC office as required... now status of filed form is that ROC is demanding affidavit from all existing directors of the Company to be filed through form 67 (Addendum).

Now can any one pls clarify what we need to mention in that Affidavit?? is there is any specific format for such an affidavit?? if any one has handled case like this or have draft of the affidavit.. pls share....

kindly treat this as urgent... i need to file form 67(addendum) soon as last date is approaching nearby..

02 January 2014 In case of change of Main Objects of the Company, you should submit affidavit from Directors, that the company will not accept deposits unless it complies provisions of various acts.

Please give your email ID, I will send you a draft of the affidavit.

02 January 2014 thanks very much sir for ur reply.. my mail id is surajrekhi@ymail.com pls tell further in affidavit whether we need to mention anything in relation to name change as ROC Has not asked affidavit specifically with regard to objects..in user clarification msg is " required affidavits frm all the existing directors" but i believe it should not be related to name as name is already available frm Roc

further pls tell what should be value of stamp paper for such an affidavit.. reg off is in Delhi.. whether it is to be notarized as well!?

03 January 2014 Please refer to circular no. 11/2013 dated 29.5.2013 which states that ROC has power to obtain affidavits from Directors in case of change of objects of Companies. So you should submit the form of affidavit as provided above.

In Mumbai, we use stamp paper of Rs. 100/- and it should be notarized as well.

03 January 2014 ok thnks Sir.. i hv gone through this notification now.. can u tell whether 2 affidavits will be required or only one will do(in my case 2 directors are there)
