Additional director re-appointment

22 August 2016 Hi,
I have query about the Additional Director Re-appointment.

If an additional director was appointed till the next AGM but he was not regualrised and mca site is still showing him as an additional director then what are our duties to do in this behalf.
Whether we have to pass resolution in back date for his re-appointment ??
or
Whether he should be regarded as his directorship is vacated and vacation rules to be followed ?

Please reply as soon as possible.

22 August 2016 Ideally, he should have vacated the office of Director. However, you can also file the form for his reappointment as Director on backdated basis. If you wish to reappoint him with back date, kindly ensure that it should not conflict with any documents (directors report, annual return etc) and forms which you have already filed with ROC.
