26 January 2012 Dear all here is a private limited company

Board of directors appointed Mr A additional Director of the company.

Now the company has to confirm him as Director in AGM, now can he be confirmed by calling an EGM.
Further whether company required to file form 32 after confirmation as director in AGM.

27 January 2012 Yes, you can regularise the Additional Director as Director in Extra Ordinary General Meeting by passing Ordinary Resolution.

Further for change in Designation, you are required to file E- Form 32 within 30 days from the date of Resolution/Meeting.

27 January 2012 yes as per jitendra -- further you are required to file form 32 twice in this case. at the time of appointment and subsequently after becoming normal director as per approval of agm/egm

30 January 2012 In our case the Additional director was appointed in Feb 2011 he was also confirmed as Director by the Shareholders in AGM but form No 32 was not filed,

So now my question is whether form no 32 can be filed now

and what are the legal provions as per companies act on pvt ltd company

30 January 2012 Yes, you can file E-Form 32 at later date with late fee.

1. For appointment.

2. For Change in Designation.
