11 July 2015 EGM is not required to regulirize additional director. After the term of appointment, a board meeting need to be convened and in that meeting, the regularization can be done.

14 July 2015 I have different views from the respected Expert CA Sreenivasa.

Additional Director can be regularised in EGM. As we know, Additional director's term is till upcoming AGM.
Before AGM, he can be appointed as Director complying with proper procedure. By doing this, he will cease to be an Additional director.

Suppose, if you want to regularise him as Director before AGM, plz conduct a board meeting recommending him to be appointed as Director and then conduct EGM for taking approval of Members for appointing him as Director.

I hope this clarifies.

14 July 2015 It means
Actually additonal director can be appointed in a board meeting and he regularised in the next coming AGM.

If there a necessary to regularise before AGM , a Board meeting need to conduct and recommend that director as a normal director and EGM need to conduct for Approval by the Shareholders.

Is this Correct only na sir?
