INCREASE OF REMUNERATION PAYABLE TO DIRECTOR

The Board discussed necessity of increasing remuneration of Rs.50,000/- payable to Mr.___________, Director of the Company, Accordingly, it was

“Resolved that consent of Board of Directors be and is hereby accorded to increase remuneration payable to Mr. ¬¬¬¬¬¬¬¬________ from Rs._________ /- per month to the Rs.______ /-per month with effect from August 01, 2009”.

24 April 2011 under sec. 314.... board cannot have the authority to pass resolution,,,

and one thing.. u not mention the nature of the post of director.... because sec. 314 applicable only if the director hold office other than his directorship....

so can u pls reexplain ur question....
