29 October 2011 Dear Friends,

I am based out of Africa and working for a company as the FC.The company has a subsidiary company (100% holding by us).
We are in the process to liquidate the company.
Can anyone please guide me on the process to initiate and do so and the process of transferring the profit/sharecapital.The assets have already been transferred to the Parent company and no creditors are held.

Please advice on the process to initaite the same.

You have to go for Valountry Winding up the Company as per the provisions of section 484 of the Companies Act 1956.
