15 January 2013 sir please help me on 1 issue. i read in an article, the format of share certificate.

in case we have issued certificates not containing particulars for transfer on the reverse side and we have to transfer shares, what is the remedy?

Please take note that Companies Act 1956 does not provide for any format of share certificate therefore you can issue new share certificates to new shareholders of the Company.

30 January 2013 Dear CA Saxena

You have to endorse on the Share certificate with following words i.e.

The Board of the Company in their meeting on .......has approved the transfer of/......No of shares from the transferor mentioned on the face of this certificate i.e.from Mr.......to Mr.......and made entries in the Register of Members of the Company on .........This Certificate is further given to the transferee i.e. under the common seal of the Company duly signed by Mr........Director of the Company as on .......as a token of shares in the Company.

This will serve your purpose.
