Respected Sir,
Is it compalsory for every Limited company to close their Register of Members and announce Record date
for declaring Dividend in AGM?
Even closelyheld Limited Company - (Not Listed) have to close their Register of Members?

Amit,
The section starts as " A company MAY....." which means that it is solely at the discretion of the company whether to close its Register of members or not....
But if dividend is being declared then a RECORD DATE has to be compulsorily decided as per which the company will give dividend to its shareholders.....
For this purpose fix the record date and mention the same in the NOTICE for AGM and no separate newspaper notice is not required to be given....

How many days is the Register of Members usually closed?
When companies do close the register, it is commonly closed for 5 to 10 working days.
For your AGM date of 30.09.2011, if the company decides to close the register, it should announce the closure dates clearly in the notice.
The Record Date itself may or may not fall within the closure period, but it should be clearly fixed.
