Part IX convertion using an existing company

I have got some files relating to part IX convertion from the sharedfiles(submited by Mr.Ravikumar on 23.09.07).

Pls advice me regarding the follwing

1. How an exixting company used to convert a partnership firm in to company.
2. If it posible pls give me a detailed picture of such convertion.

04 March 2008 1. Existing company can not be used for convertion of firm into company.
2.The procedure is same as for new registration, but you have to also furnish documents under chapter IX

06 March 2008 But sir as per the file shared, an existing company can be used to covert the firm. Sir pls go through the shared files,submited by Mr.Ravikumar on 23.09.07 under corporate law.




15 March 2008 You can follow the procedure of takeover.

An existing company may take over the partnership firm and afterwards dissolve partnership firm.

Company may take all existing business of the partnership.

in this case procedure is that

This will not amount a part IX conversion
First form a company/itmay be a existing company

Then company is taking over all the business of the partnership

Not a singal form is required to be filed with ROC except if main object of the company needs a change.
