25 January 2009 I want to know the PRACTICAL procedure of voluntary liquidation of a pvt ltd co.as to what steps need to be taken. It would be better if anyone can provide me with a 'list of things to do' or a 'checklist' with comments.
Note : Please do not give theoretical views.

25 January 2009 Prepare a Balance sheet as on a cut off date.
All liabilities should be cleared except capital.
Then the balance available has to be distributed to the share holders.
Inform ROC the intention to wind up and mode of payment of liabilities.
Then surrender the original certificate to Roc for cancellation.
