Dear experts, one of the assessee pvt.ltd co., has the reserves and surplus to the tune of Rs.13 lacs,it wants to wind up the operations and pay the entire reserves to the shareholders as dividend, what is the precedure?

Just pay Dividend distribution Tax at prescribed rate. That is from Income-tax point of View!
