Conversion of a company into llp

28 November 2013 Dear Sir,
I have a company having a word "Capital" in its name since incorporation.
The issue is that we have to convert the company into LLP and submitted Form 1 to the ROC. The query arises from the ROC that the company should have to provide NOC from RBI because the company have a nature of NBFC as indicated by the word in its name "capital".

Later on , I think that it is better to change the name of company than getting NOC from RBI and submitted FORM IA for change the name of the company by removing the word "Capital " from its name. But the same query arised again that you should have to get NOC from RBI.
For Your Reference The company does not have an object in the memorandum to carry the business as NBFC.

Therefore , Please guide me the best possible way to resolve the issue and procedure to get NOC from RBI or whether any other way is there to overcome from this problem.

Please clarify in details.
