02 February 2009 Hello, Please let me know is there any special approval required to be obtained under companies Act except in Form-1A and 1B, if name of the pvt. ltd. Company and its Main object are simultaneously changed?

02 February 2009 After the approval of the name availablity, you should pass a resoulution to that effect and revised memorandum and articles alongwith form 23 has to be submitted to the concerned roc alongwith the name availability letter and confirmation received from roc for avaialbility of name.

Then roc will issue a certificate to that effect and will also issue a fresh certificate of incorporation indicating the name change.

Then only the process is complete.

03 February 2009 sir, but i am asking that if name and main object of the company are simutaneously changed? you told me only about name change procedure.

07 February 2009 When you are revising memorandum and articles automatically the new objects has to be entered there and what are all the old objects not required to deleted. To this effect you should pass resolution and change the memoranduma and articles and should file form 23.
