14 December 2008 whether the approval of SEBI/CCI is to be taken for the private limited company to issue shares at premium.

SEBI Rules are applicable only to listed companies where as CCI is not in existance now. So there is no need to take such approval for private limitd cos. Further for issuing shares to non-residents guidelines issued by eastwhile CCI should be followed while determining the premium.
