25 July 2012 In case of a pvt. Ltd Co. can a director, who is not a member of the company be elected as chairman of the General meeting on show of hand i.e without demanding poll.(refer sec. 175)

If the Articles provide the name of the chairman that person shall be the chairman for the meeting otherwise any director cam be the chairman even if he is not the Member of the Company

30 July 2012 Dear Pooja, Thanks Nothing is mentioned in our AOA regarding Chairman. But pls refer section 175 (1), it says that the members personally present at the meeting shall elect one of themselves to be the Chairman of the meeting. So can a director, who is not a member be appointed as Chairman??? pls through some light or if it is mentioned in any section/notification/clarification etc. pls forward. my email id is savitacs@gmail.com.
