Can a company open branch without intimated to roc

a company is registered in M.P. and want to stablish a branch in Nagpur (MH) what is the procidure for opening the branch; can do this with out intimated to ROC MP.

Company Law does not prohibit to open any branch/es in any other place...No intimation is required to be given to ROC.
