As we all Know that in form 23AC,23ACA, 66, 20B , we are providing resolution no and date , but my question is that what should be the Board Resolution for all these.

24 September 2010 12) Adoption of Annual Accounts:

Kind of Meeting: Annual General Meeting (AGM)
Type of Resolution: Ordinary Resolution

“ RESOLVED that the director’s report, audited balance sheet as on …………… and profit and loss account for the year ended ………….and auditor’s report thereon be and the same are hereby received, considered and adopted.”

But my question is that in all the aforementioned forms , we are providing ....." I have been authorised by the Board of Directors Resolution No.. dated...." . So I am asking about that Board Resolution and model format for the same.

I hope am I clear this time.

24 September 2010 Resolved further that Mr. XYZ, director of the company is hereby authorised to sign the necessary forms in this regard to be submitted to the Registrar of Companies.

Resolution No. can be any number and also may be the number of resoultion for the financial year and the date of resolution will be the date of signing the balance sheet.
