If a listed company while re-constituting the audit committee/other mandatory committee mentions that the terms of reference of the committee(s) shall be in accordance with the applicable provisions of the Companies Act, 2013 and LA. will it be adequate?

It is advisable to mention terms of reference in resolution.

If it is stated that the terms of reference of audit committee shall be as per the provisions of section 177 of the Companies,2013 and SEBI Circular dated 17th April,2014,will it not be adequate?

it is adequate. However if you will give copy of resolution to someone who is not aware about relevant legisation, it better to practice to incorporate terms of reference in resolution or as annexure
