IF one of the promoters is foreign director out of the 2 promoters in a private limited company. How shall the compliance of getting MOA and AOA signature will take place. I am not very sure how to complete up the compliance procedure for foreign director. Can I file Form 1A with only indian directors who will be signing the MOA and AOA ??? Will that be in accordance with the legal requirements of companies act??

Sir, I was going thru 23ACA e form of MCA, the co. has its first year and so are we the first auditor of the company. However as per my knowledge the First auditor doesnt need to intimate ROC, then y is 23AC asking for compulsory SRN no. for 23B(auditor intimation to ROC.)

Can an Indian company issue guarantees on behalf of a subsidiary of a subsidiary of a group company in India? This group company is a subsidiary of a foreign company located in India?

Dear Experts, Kindly discuss the following queries regarding C & F agreement We are the marketing co. for certain products in mumbai and need to appoint C & F in Maharashtra and other States. Queries are : 1) How to make the stock transfer to C&F within and outside state? using what forms? 2) Can we make billing in name of C&F and according C&F can make to secondary market? 3) What will be the role of Company and C&F in case of payment of Local Sales Tax ie VAT?
