Dear Sir, In a pvt. co. 2 directors were appointed as additional directors on 25.06.2009 and 15.07.2009 respectively. The AGM was held on 30.09.2009 for which the returns are filed. What is the procedure to be followed to regularise these directors? Kindly reply at the earliest.

This is a case where we want to payment our liability by bearer cheque by rs. 325000 and the liability was created because of ‘investment in share’ of a Pvt Company and these share were also purchased from a private ltd Co. The query is that whether the transferee company can issue a bearer cheque to the transferor for the purchase of share and whether it will attract provision of Section 40 A(3) and any other provision of IT act and any restriction by any other law. Kindly guide me for the above.
