314 and 314(B) of Companies Act, 1956 What I understand : Application of Section 314 (1) and 31491B) prior to enhancement of limi upto Rs. 2.50 Lacs: Section 314(1) – Rs. 10000/- PM or more but not exceeding Rs. 20000/- PM- No Prior approval of Shareholder require subsequent approval of shareholders. Section 314(1B)- Rs. 20000 or More but not exceeding Rs. 50000/- PM - Prior approval of Shareholders and CG if amount payable in excess of Rs. 50000/- Limit Rs. 10000/- or More but not more that Rs. 2,50 Lacs per Month (as recent amended limit by Govt.) in this case no prior special resolution require but Special resolution required at general meeting subsequent to the date of appointment of Relative holding place of Profit . I have three cases in reference of enhancement of Limit by Central Government upto Rs. 2.50 Lacs. without central Government. Pl let me know which section apply 314(1) or 314 (1B) in the following case : Pl let me know which section apply in the following cases : 314(1) or 314(1B) and whether prior approval of shareholders require or subsequent approval of shareholders requires ? 01. In Once Company I want to appoint a Relative of Director to hold office or place of Profit at Monthly remuneration of Rs. 15000/ PM. P.M. Should Company require Prior Special Resolution of Shareholders. 02. In Once Company I want to appoint a Relative of Director to hold office or place of Profit at Monthly remuneration of Rs. 60000/ PM. Or Rs. 2.40 Lacs P.M. Should Company require Prior Special Resolution of Shareholders. 03. In one Company presently a relative holding place of profit at monthly remuneration of Rs. 45000/- for which earlier special resolution was passed and now Company want to revised salary upto Rs. 2.10 Lacs PM. Should Company require prior approval of shareholder prior to increase remuneration. Pl let me know how to decided case of section 314(1) or 314 (1B)

raghavendra says : i need guidance sir, recently i wrote the IPCC exam with partial preparation in one group........iam sure i will fail in costing and other three subjects comes around fifties........now iam not knowing what to do..........i dont know how to prepare and make time tables.........so with ur support tell me how to make plans in making the timetables and crack the exams in november........i will write only one group sir...totally confused now iam idle dont know how to start............please suggest me

My son, who get a gift from his mother, how can invest amount in USA as business partnership amount? what is the process and how much time consuming? Amount is approximately 2.5 Crore. They have their own business and filing return in proprietor capacity. The fund source is business income of the mother. If you want to know anything else please let us know. Thanks.
