Sir, I am working as assistant company secretary in a public company.I would like to know whether company can create charge on future vehicle to be acquired.Suppose financial institution sanctions loan amounting to Rs.7 crores to purchase vehicles.Whether company can create charge on future vehicle to be acquired pls give me any case law or else article supporting to my query Thanks in advance

Dear expert, I am one of the 4 Directors of a Private Ltd firm. A board resolution was passed in 2004 authorizing me to open/operate any bank account for the company severally/individually. The same was signed by 2 Directors. In the resolution it is mentioned that the same is irrevocable, and a separate resolution is not needed each time till the year 2014. Is this resolution enough to open a bank account? If so, how do i submit a 'true certified copy' to the bank? As in, who will certify it?
