Hi!

I am Sanjay Gupta from "City of Joy - Kolkata". I have completed ICWA, M.Com, CS, DIM and currently pursuing MBA. Presently i am working for Hindustan Aeronautics Limited, Barrackpore Division as a Dy. Manager (Finance). Prior to this, for last 3 years i worked for "West Bengal Industrial Development Corporation Ltd" as Officer On Special Duty and before that for 3.5 years i worked for "Jekay Group of Companies" as Manager (F & A).

I am a part of caclubindia Family to share whatever knowledge i have and also to enhance my own knowledge. We all learn something everyday, because education never ends be it in school, college, institutions or in Journey of Life.

Hello sir could you please suggests me in case private limited company's AOA does not have the provisions for the appointment of Managing director,then Is there need to altered them and please also suggest in case of re-appointment of MD is there need to file form 32 again. What are the remedies if appointment was made without having the provisions in AOA of private Limited company.

Hello experts ! Thank you in advance for referring to my querry & answering me! Issue: My Grandmother is the owner of 3 agricutral land situated in Jalgoan (Mah) We made an agreement with a buyer for all the land on a stamp paper on 13.2.2009. Till now no sale has taken place on paper but we have recievd 45 % of sale consideration. One of the clause states that the tranfer along with ful payment should me made within 18 months from 13.2.2009 1.e upto 13.8.2010 Q1) Since now 25 months has been expired then can we legally forefiet the sale agreement?How should we do it legally ?This agreement is not yet registred. There is nothing mentioned about forefeiture in our agreement, Q2) whethr any provsion in law is there which states that amount rec for agrement but subsequently forefieted should be refunded? In our case nothing has been mentioned about Forefieture/refunding advance money in our agreement.Then what should we do? Q3) He paid stamp duty on 1 of the plot on 30.12.2010 without asking us(without our consent) ,now if no transfer takes place within 31.3.2011 it will lapse. So on this basis can he sue us & bring a stay if we want to sell it to others in future by forefieting this agreement. Q4) If we want to refund it and then want to make new agreement with new buyer can he stop us legally by simply refusing to take back the advance given to us? In such sceneario what legal option do we have & how can we save ourselves? Q5) He does not want us to sell it to others as he has threatend us that he will sue us if we make new agreement with other buyer.Under which law & under which sec can he do so? What legal remedies do we have gainst this legal attack? Pls reply me as soon as possible its very urgent!

1 of my friend enquired the same q at Mumbai-Nariman Point chapter wat reply he got is as follows : 1 month Before Engaging for 15 months training EDP/PDP watever is applicable should be complted & since therfore we can appear & clear CS-Prof exms without undergoing PDP Training.
