Dear Sir We are a private limited company incorporated on 5th January 2007 with a subscriber being foreign national and having subscribed for more than 50% of shares of the company he was also appointed the director of the company. After incorporation no filing was done in the company till now. As they decided to start the business in October 09 and want the foreign national to be removed as director and transfer all his shares in favour of Indian director. As there was no bank account opened in the name of the company till October 09 they are showing share capital as cash in hand. Further foreign director is not having any DIN and he is out of reach. So can you advise me in such situation how can we transfer his shares and remove him from the position of the director. Thanks and regards Prasang awasthi -
