    Company has issued shares at par to its promoters and later on company issued shares to outsider on premium . Now company want to issue again shares to its promoters on at face value and to outsider on premium. What are the legal consques on the issue as per Income Tax Act and Companies Act. pls advise.

    Dear Satish, There is no such clause in AOA But AOA contain the Name of Company which has to be changed.
