Dear Sir, Thanks for your reply on nominee director retirement. Problem is one of my client company has entered into share purchase agreement with private equity players(FVCI) and given them right to appoint niminee director and in the agreement it is given that investor nominee is not liable to retire by rotation. in Articles of association already there is one article wich talks about the non retiring director i.e special director, managing director, whole time director not liable to retire by rotation.after entering into agreement with the investor one more article insterted in the AOA of the company i.e investor nominee isnot liable to retire by rotation. My question is whether section 268 of the companies act is applicable as we areamended artilces and whether nominee director be considered as special director.

Actually i got my articleship and final registration letter recently but i did not get "Permission letter" for form 112 submitted by me...actually i did not submit form 112 along with my articleship & final registration form instead i submitted it a week later...when contacted institute they say since i did not submit all the forms together ,the form 112 will take considerable time to be processed for granting 'permission letter'......what should i do now? how to know my form 112 status? or i shouldre-submit it?

please read the following case study and answer: A LLP is incorporated in the name of ABC LLP with two partners and works as a contractor . ABC LLP gets a new government contract (apart from its usual/exising govt contracts) but other third parties are also involved related to new contract. Now, ABC LLP wants to form a new internal unit (for the purpose of new contract) by the name of "XYZ Agency" and wants to share the profits and expenses related to new contract with third parties in a pre-decided ratio. 50% M's share 25% ABC LLP's share 10% N's share 15 % P's share Questions: Can ABC LLP do so ? If yes, what legal formalities are needed to be carried out ? Will the turnover of such internal unit be included in turnover of ABC LLP ? Please it is requested to members to share their views on urgent basis. Thanks in advance
