sir i want to know the regulation governing overseas listing of shares by indian company can u share few files . for eg indian comapny want s to list in NASDAQ/ NYSE or other exchange what are the step must follow, including exchange norms/SEBI guidelines

Hello Sir, My Company is a public one and recently i noticed that the tenure of MD and Executive Director expired on 31/03/2012,which may not have noticed by my predecessor.i think i can conduct a board meeting on 30th March to re appoint them and to conduct an EGM there after.My Question is 1.Can i regularise the appointment in the upcoming AGM(29TH SEP)or is it mandatory to conduct an EGM in April it self? 2.Whether Form 32 is required,if we are changing the tenure of appointment(3to 5) Please advice me
