Hi!

I am Sanjay Gupta from "City of Joy - Kolkata". I have completed ICWA, M.Com, CS, DIM and currently pursuing MBA. Presently i am working for Hindustan Aeronautics Limited, Barrackpore Division as a Dy. Manager (Finance). Prior to this, for last 3 years i worked for "West Bengal Industrial Development Corporation Ltd" as Officer On Special Duty and before that for 3.5 years i worked for "Jekay Group of Companies" as Manager (F & A).

I am a part of caclubindia Family to share whatever knowledge i have and also to enhance my own knowledge. We all learn something everyday, because education never ends be it in school, college, institutions or in Journey of Life.

thanks for your reply on nominee director But whether nominee director appointed by foreign venture capital fund liable to retire by rotation and whether section 255 will be applicable while counting total number of directors.? if you quote any case law or article on this it would be great help full for me to argue that section 255 is not applicable to nominee director even appointed by foreign venture capital fund investor. sir as in our company there are total 6 directors and 1 nominee director.already 2 directors have been appointed as non retiring director and investor also appointed one director as their nominee.Now total non retiring director would be 3 which is utter violation of section 255 as 1/3 rd of total directors is 2.11. I believe that companies act is not applicable to nominee director.sugest me any case law that nominee director appointed by foreign venture capital fund should be non retiring director irrespective of violaion of section 255. pls reply at the earliest.
