Change in object clause in moa

27 June 2012 IS COMPANY LAW BOARD PERMISSION REQUIRED FOR ALTERATION IN MAIN OBJECT CLAUSE IN MOA.

WHICH FORMS ARE REQUIRED TO BE FILED FOR THE SAME? IS FORM 21 REQUIRED ?

Please check whether the change of mane objec s consequently affect the name of the company, if yes, then need to change of the name of the company first along with change of object clause.

For example, if your company is doing business in real estate and you wanted to do business in chemical manufacturing then accordingly name will also changed.

For this, you follow the following procedure:

1. Call a Board meeting for change of main object and change of name of company.
2. File Form-1A with ROC
3. Call a Board Meeting for calling of EGM.
4. Hold EGM for passing resolution.
5. Fole Form-23
6. File Form 1B with ROC.


If name is not change in your case simple file Form-23 for change of main object and ROC will issue certificate for the same.
