Board and its power

board resolution are passed in 2 ways
1.in board meeting
2.by circulation.

in circulation no meeting is held but resolution is passed to Board members with all supporting documents for approval.
however, there are restrictions on matters which cannot be approved through circular
and if any resolution is passed through circulation then the procedure laid must be followed.
