The AOA of a Private Company authorises the appointment of directors at General Meeting in the presence of atleast two members.
Now there are 2 members and 3 directors in the Company and one of the member resides abraod.Now since one member cannot constitute the general meeting ,So can't we appoint the director in the Board Meeting.??

Company cannot appoint noramal director in Board meeting.
However it can appoint ADDITIONAL DIRECTOR in Board meeting, for a period upto next AGM.
