An additional director can be appointed by the Board of Directors.

An additional director holds office until the date of the next annual general meeting or the last date the AGM should have been held, whichever is earlier.

Key Managerial Personnel include the Chief Executive Officer, managing director, manager, company secretary, whole-time director, and Chief Financial Officer.

Every listed company and every other public company with a paid-up share capital of ten crore rupees or more must have whole-time key managerial personnel. Private companies with a paid-up share capital of ten crore rupees or more also need a whole-time company secretary.

Any vacancy in the office of a whole-time key managerial personnel must be filled by the Board within six months from the date of the vacancy.

No company can appoint or employ a managing director and a manager at the same time.
