section 48 and rule 4(3) of companies share capital and Deb rules 2014

As per section 48 shareholder rights can be varied and there is a procedure for it. However, according to aforementioned rules "existing equity capital with voting rights cannot be converted to unto differential voting rights and vice versa."

Both these provisions r contradicting in nature. Request assistance with interpretation.
